Terms, Conditions and Disclaimer

These terms govern use of the Docxkeeper website, application, and related services. Read them before using the site, downloading the application, or enabling a service. An approved written customer agreement, quotation, or purchase order may also apply.

1. Company and acceptance

The Docxkeeper provider and contracting party, subject to the approved agreement, is an Iraqi company legally registered with the Companies Registration Department in Baghdad and based at Baghdad – Al-Mansour, Iraq. It is referred to in these Terms as “the company” or “the service provider.”

By using the site, downloading the application, or using a licensed entitlement, you accept these terms to the extent they apply to you. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not use the relevant part of the site, product, or service.

2. Docxkeeper and the scope of information

Docxkeeper is a local-first Windows document archiving and management application. Accounts, updates, synchronization, and related services may be available according to entitlement and configuration. Describing a feature on the site does not mean it is included in every license or enabled for every customer.

Website content is general product information. Any binding scope for supply, support, hosting, or implementation is defined by an approved written agreement, quotation, or purchase order, where one exists.

3. Lawful website use

  • Use the site, contact form, and download route only for lawful purposes related to the product.
  • Do not disrupt the site, bypass protections, submit harmful or abusive automated content, or impersonate a person or organization.
  • Do not use content or communication channels in a way that violates law, intellectual-property rights, privacy, or another person’s confidentiality.

4. Application license

Subject to these terms and any written agreement, a valid entitlement grants the customer or authorized user a limited, non-exclusive, non-transferable right—unless transfer is approved in writing—to use the available Docxkeeper copy for lawful internal purposes and during the entitlement period if one is specified.

These terms do not transfer ownership of the software, source code, or marks and do not invent device or user counts, prices, or terms not established by a written agreement or the actual entitlement configuration.

5. License restrictions

  • Do not resell, rent, sublicense, distribute, or make the application available to another party without written authorization.
  • Do not copy or share activation mechanisms or entitlement keys outside the authorized scope, or bypass activation, device entitlement, or access controls.
  • Do not decompile, reverse engineer, attempt to extract source code, or create a derivative work, except to the limited extent applicable law does not permit that restriction and after meeting that law’s requirements.
  • Do not remove proprietary notices or use the product to build a competing service by copying protected elements.

6. Accounts, devices, and access

The customer is responsible for selecting users, administrators, departments, roles, and permissions, reviewing them, and revoking access when duties change, a device is lost, or a user relationship ends. Passwords, recovery materials, and device identities must be protected and not shared without a legitimate need.

Device revocation or another change may take effect when that device next connects to the service. The customer must therefore also take immediate operational action to secure a device or account suspected of being lost or compromised.

7. Customer documents and data

The customer keeps its ownership and rights in documents, files, and data entered into Docxkeeper. Ownership does not transfer to the company merely because the product or synchronization is used.

The customer is responsible for the lawful collection, use, upload, and sharing of documents; for obtaining necessary authority and consent; and for their accuracy, classification, retention, and access. Unlawful content or content infringing another party’s rights must not be entered.

8. Backup and business continuity

Synchronization is not a substitute for an appropriate backup and business-continuity plan. The customer is responsible for defining a backup policy, testing restoration, protecting backup copies, and selecting recovery points suitable for the importance of its documents and requirements.

A customer must not rely on one device copy or synchronization connectivity alone as a complete recovery plan and must account for device, software, network, and service failures, human deletion, and other operational risks.

9. Security and recovery responsibilities

  • The customer is responsible for securing Windows devices, the operating system and its updates, storage, networks, and protective software, and for protecting its devices and technical environment from malware and ransomware under an appropriate security policy. To the maximum extent permitted by law, the company is not liable for damage to, encryption of, or loss of local data resulting from infection of customer devices or its technical environment by factors outside the company’s control.
  • In protection modes where decryption keys or recovery materials are under the customer’s control, the company may be technically unable to restore encrypted content without valid recovery materials. The customer is responsible for safeguarding, protecting, and testing those materials and, to the maximum extent permitted by law, the company is not liable for content loss resulting from the loss, destruction, or inaccessibility of keys or recovery materials under the customer’s control.
  • Apply least privilege, review audit history, alerts, accounts, and registered devices, and report incidents without unreasonable delay.
  • Docxkeeper audit logs and accountability tools are designed for operational recording within the application and approved architecture. They are not a guarantee against direct tampering by a person with Administrator privileges on the operating system or direct physical access to the device or database. The customer is responsible for restricting operating-system privileges and protecting devices, databases, and physical access to them.
  • Ensure users are trained and authorized and that their actions follow applicable law and organizational policy.

10. Updates and technical changes

We may provide updates to correct defects or improve security, compatibility, or functions. Use the official update channel, review release requirements, and keep an appropriate backup before material changes. Some services or security compatibility may require a current release; a written agreement determines whether support for a particular update is included.

11. Availability and third-party services

Downloads, email, Turnstile, hosting, synchronization, and updates may be affected by internet connectivity, infrastructure providers, operating systems, devices, and services the company does not fully control. We do not promise uninterrupted operation or permanent freedom from errors or threats.

Third-party software or services may have their own terms and policies. Referring to a third party is not a warranty of that party or an assumption of responsibility for every change or outage it causes.

12. Compliance and internal policies

Docxkeeper provides organization, permissions, and audit tools, but it does not automatically confer compliance with any law, regulation, standard, retention policy, or industry rule. The customer must identify its legal, regulatory, and professional requirements, configure the product, processes, and backups accordingly, and obtain specialist advice where needed.

13. Intellectual property and marks

Rights in Docxkeeper, the website, software, design, original content, and associated marks remain with their respective licensed owners. All rights not expressly granted are reserved.

Customer and organization names and logos displayed on the website remain the property of their owners. Displaying them to document the use of earlier releases does not transfer ownership and does not necessarily mean adoption of the current generation, use of the current synchronization service, or continuing endorsement.

14. Disclaimer and warranties

To the maximum extent permitted by applicable law, the website, its content, the software, and services are provided in their available condition and within the approved agreement, without unwritten express or implied warranties, including fitness for a particular purpose, uninterrupted operation, or a promise that every release is error-free.

This section does not exclude a warranty or right that applicable law does not permit to be excluded and does not release the company from an express obligation in an enforceable written agreement.

15. Limitation of liability

To the maximum extent permitted by applicable law, the company and its officers and personnel are not liable for indirect, incidental, special, or consequential loss, or loss of profit, revenue, opportunity, goodwill, data, or business interruption arising from use of or inability to use the site, product, or service, even if advised that such loss was possible.

To the maximum extent permitted by law, the company’s total aggregate financial liability arising from the product or service will not exceed the amounts actually paid by the customer to the company for the relevant license or service during the twelve months preceding the event giving rise to liability. This limit does not apply to liability that cannot lawfully be excluded or limited.

No reference in this section to loss of data is a warranty by the company that the data can be restored or recreated. Responsibility for backups and restoration testing remains with the customer under section 8 (Backup and business continuity).

16. Written agreements

If an approved written agreement, quotation, or purchase order with the company conflicts with these terms, the written provision prevails within the conflict and for the customer and service it covers. Conversations and marketing materials do not amend an agreement unless accepted in writing by an authorized person.

17. Governing law and jurisdiction

The company is Iraqi and legally registered with the Companies Registration Department in Baghdad. These terms are intended to be interpreted under applicable Iraqi law unless an enforceable written agreement states otherwise.

These terms do not name an exclusive court. Jurisdiction is determined under applicable Iraqi law and any enforceable written agreement; no particular court should be inferred from the company’s address alone.

18. Changes and contact

We may update these terms when the product, service, or law changes and will post the revised version and effective date. An update does not retroactively amend an enforceable written agreement except according to that agreement and applicable law.
